Development & Financing Agreements

Construction Management & General Contractor Agreements

The contract between the project owner and its construction manager or general contractor is at the heart of any construction project. We understand the interests and concerns of both owners and construction managers or general contractors because of our experience drafting, negotiating, and litigating these agreements. We work on projects ranging from a few hundred thousand dollars to over $100 Million on behalf of owners, construction managers, and general contractors.

Trade and Subcontractor Agreements

We regularly prepare and negotiate trade agreements on behalf of construction managers, general contractor and trade contractors to ensure that your needs are met, and your interests are protected and that the project can still get done.

Prime Agreements

In both the public sector and the private sector, the project owner may need a prime trade that is neither a construction manager and does not directly subcontract with the other trades. We develop a family of project agreements that offer proper oversight and accountability of a lead trade or advisor while maintaining the flexibility required to complete the project on time and on budget.

Access & Neighboring Property Agreements

In densely populated spaces, and urban areas in particular, it is often necessary to access the neighboring property to complete a ground-up or major renovation project. We negotiate these access agreements on both sides and understand reasonable legal and market terms to guide you through this often-difficult process. We also take actions to force a resolution, when necessary, ultimately creating a workable and fair result for all.

Consultant Agreements

Equipment Use & Licensing Agreements

Contractors and trades often need to use equipment owned by others on a project site, ranging from scaffolding to lifts to protective equipment. We prepare agreements between trades and with general contractors so that equipment on site can be used efficiently, ensuring your project can proceed with as little disruption as possible. These agreements also make sure that the trade providing the equipment is protected from any accidents or misuse of its materials.

Representative Matters

  • Drafted all new construction agreements for a very active construction management company, including the construction management agreement with the developer and all trade contracts for use on a particular project. These agreements will serve as templated forms to be used by our client for future projects.
  • Represented to completion the sale of a construction safety company.
  • Representing a developer in relation to multiple, interrelated access agreements for the development of multiple structures in dense, urban environments with varied stakeholders advising on market conditions as well as potential risks.
  • Prepared a short form contract template for a commercial developer’s use on various projects where they intend to engage trade contractors directly and act as its own construction manager.
