Corporate Associate Toni Gallo has cultivated extensive experience counseling clients from deal inception through closing, as well as serving as outside general counsel to growth-stage businesses and family-owned companies.
Experience
Toni advises a wide range of clients, including companies, investment funds, entrepreneurs, and family offices on varied corporate transactions, including mergers and acquisitions, private equity investments, joint ventures, fund formation, restructurings, and general corporate matters. Toni represents clients across a variety of industries, including financial services, private equity, consumer products, food and beverage, professional sports, healthcare, and technology.

- Representation of Modera Wealth Management, an investment adviser with over $12.5 billion in assets under management, in a variety of acquisitions and corporate governance matters.
- Representation of a variety of different companies in connection with private placement securities offerings and profits interest plans/issuances.
- Representation of numerous investment funds with their formation, fundraising and governance matters.
- Representation of consumer product and beverage companies in connection with capital raises, corporate governance and endorsement agreements with high-profile investors and celebrities.
- Representation of companies in connection with private equity investments, including complex restructurings, equity sales and governance documentation.
- Representation of early-stage and growth companies as outside general counsel on entity formation, fundraising and corporate governance matters.
EDUCATION
Toni earned her J.D., cum laude, from Seton Hall University School of Law, and her B.A. in Political Science, cum laude, from Villanova University. During law school, Toni served as a Mock Trial Competition Member and was elected to be Co-Chair of the Mock Trial Board. Additionally, Toni was a member of the Seton Hall Law Appellate Advocacy Moot Court Board and Seton Hall Law Mentorship Program; served as a judicial intern to the Honorable Gregg. A Padovano; and, as part of the Seton Hall Law Family Law Clinic, was a Student Attorney to individuals needing representation in a variety of family law matters.
