EXPERIENCE
Luke’s practice involves representing clients in merger and acquisition transactions, debt/equity financings, acquisition financings, corporate governance, and formation/organizational matters. Luke takes pride in acting as a trusted corporate advisor, partnering with clients to address their day-to-day legal and operational challenges. His practice covers a range of matters, including governance documents, corporate restructurings, employment agreements, NDAs, and other similar agreements. In addition to Luke’s corporate practice, he also focuses on real estate finance, where he represents both lenders and borrowers in a wide range of transactions, including asset-based lending, real estate-secured credit facilities, and senior and mezzanine commercial mortgage financings.
REPRESENTATIVE MATTERS
Corporate Transactions:
- Represented Brookdale ShopRite, Inc. in the sale of its Brookdale and Newark Shoprite locations to another ShopRite operator.
- Represented a family-owned fitness gym operator in the sale of fitness club locations across New Jersey to larger fitness enterprise.
- Represented a family-owned contracting company in the $45 million sale of its business to an infrastructure services provider.
- Represented a strategy and technology consultancy business in $180 million disposition to a global management consulting firm.
- Represented a professional engineering services firm in the sale of its business to a private equity group.
- Represented a title insurance company in multiple acquisitions across the insurance industry.
- Represented a boutique aesthetic medicine practice in the sale of its business to a larger wellness/aesthetic enterprise.
- Represented reputable transportation company in the refinance of $60 million credit facility.
Real Estate Financings:
- Represented buyer/borrower in the acquisitions of a $63.35 million mortgage loan and an $11 million mezzanine loan to fund the development of certain multifamily properties in an 11-property portfolio across NJ/NY.
- Represented lender in connection with $155 million construction/condo loan made to Adam Neumann’s Flow Development Group for construction of a 466-unit, ultra-luxury residential condominium building in Miami, FL.
- Represented borrower in connection with a $33 million refinancing of the King of Prussia Town Center in Montgomery County, PA.
EDUCATION
As a longtime athlete, Luke began his undergraduate studies as a Division I Baseball player at Stony Brook University on Long Island, New York. As a freshman, Luke played on the Stony Brook Hall of Fame inducted team that played in the 2012 College World Series in Omaha, Nebraska. After stepping away from baseball, Luke transferred to Drexel University, before ultimately earning his B.S. in Business Administration, summa cum laude, from West Chester University of Pennsylvania. After undergrad, Luke returned to Drexel University’s Thomas R. Kline School of Law and earned his J.D., graduating magna cum laude in 2022. During law school, Luke was an associate editor of Drexel Law Review; a research assistant to faculty; a teaching assistant for Civil Procedure and Legislation & Regulation courses; and a summer associate with Cole Schotz in 2021.
