Dustin Dorsino is an associate in the Corporate Transactions Department and is based in the firm’s Maryland office.
EXPERIENCE
Dustin advises a wide range of clients on a variety of corporate and transactional matters, including mergers and acquisitions, joint ventures, real estate financing, private equity investments, and debt and equity financings. His practice spans numerous industries, including cannabis, healthcare, construction, professional sports, and financial services. Dustin draws from his diverse experience in general corporate, employment, and real estate law to act as outside general counsel for his clients. His professional focus also includes representing both businesses and individuals in connection with negotiating employment-related agreements and commercial contracts.
Dustin also provides cannabis-related businesses with strategic legal counsel related to complex regulatory issues facing the national cannabis industry, including obtaining and transferring licenses for the cultivation, processing, and dispensing of cannabis; issues related to financing, entity formation and organization, real estate, and taxation; complying with regulatory restrictions on entity structure; and cannabis product marketing, advertising, packaging, and labeling.
Representative Matters
Corporate Transactions:
- Represented a global product design and engineering company in connection with multiple US-based strategic acquisitions
- Represented shareholders of an enterprise identity and access management company in the sale of all of their equity in the company
- Represented IT managed service provider in the sale of its business to a private equity-backed technology company
- Represented multiple Chapter 11 bankruptcy debtors in the orderly dispositions of all or substantially all their assets
- Represented outdoor power equipment distributor in the sale of all of its assets to a private equity-backed partnership
- Represented publicly traded companies based in Israel and Switzerland in connection with U.S. corporate matters
Real Estate:
- Represented a real estate developer in connection with a $185 million joint venture as part of a senior loan refinance and preferred equity investment related to the development, construction and lease-up of Mt. Sinai Hospital properties in upper Manhattan, New York
- Represented a real estate investment firm in a 1031 exchange involving a Virginia apartment complex in excess of $100 million
- Represented a real estate developer in the refinancing of approximately 147,000 square feet of industrial property
- Represented a real estate investment and management company in the acquisition of a South Carolina shopping center
- Represented a commercial real estate investment firm in the acquisitions of multiple commercial properties in Virginia and South Carolina
Cannabis:
- Represented a cannabis microbusiness in connection with its successful license application to the New York Office of Cannabis Management, recapitalization and seed financing, and general corporate and regulatory matters
Thought Leadership
Dustin has been published by the American Bar Association, New York State Bar Association and New York Business Law Journal in connection with his scholarship on mergers and acquisitions.
Education
Dustin earned his J.D., magna cum laude, from Syracuse University College of Law and his B.S. in Finance, summa cum laude, from Niagara University. During law school, Dustin served as an executive editor of Syracuse Law Review and his note on MLB salary arbitration was both selected for publication and preserved in the National Baseball Hall of Fame’s archives.
