Corporate Transactions
Ryan represents clients across a range of corporate and transactional matters, with a focus on mergers and acquisitions, equity sales, and general corporate advisory work. He advises privately held companies, private equity sponsors, and entrepreneurs in connection with business sales and acquisitions, corporate reorganizations, entity structuring, and day-to-day operational matters. Drawing on his prior experience in investment banking and financial consulting, Ryan brings a business-minded perspective and commercial awareness to every transaction.
Real Estate
Ryan also maintains an active real estate practice, advising clients on commercial real estate transactions including acquisitions, dispositions, financings, and 1031 exchanges. He has experience representing borrowers and lenders in complex financing transactions, including construction loans, mortgage loans, and mezzanine financing, as well as the structuring of real estate investment vehicles.

- Represented a real estate financial technology company in the sale of its equity interests to a strategic acquirer
- Represented a regional grocery chain in a partial equity sale to a private equity sponsor
- Represented a healthcare workforce solutions company in a corporate reorganization involving the restructuring of its credit facilities
- Represented a New Jersey cannabis company in connection with entity structuring, startup operations, and the onboarding of initial investors prior to obtaining cannabis licenses
- Represented a financial services company in the sale of its equity interests to a strategic acquirer
- Represented the owners of a pool chemicals company in the sale of the business to a strategic acquirer
Real Estate
- Represented a real estate fund in connection with a drop-and-swap transaction involving a multifamily development as part of a 1031 exchange
- Represented a commercial real estate company in the structuring and closing of a refinancing of a shopping center
Passions
Outside of the office, Ryan enjoys competition-style BBQ, non-fiction books, and New York baseball.
Education
Ryan earned his J.D. from Brooklyn Law School, where he was a member of the Moot Court Honor Society and received the Carswell Scholarship. He was also an Americas Finalist in the Price Media Law Moot Court Competition. Ryan holds an MBA in Financial Analysis and a B.S. in Finance and Accounting from Indiana University’s Kelley School of Business.
