Construction Mergers and Acquisitions

The Construction Services department represents both purchasers and targets in mergers and acquisitions of construction and construction materials related businesses. Our construction team also assists clients in the formation of construction related businesses, and in contractor joint ventures. 

Our construction team represented the shareholders of the target company and their affiliates in a sale of stock and assets to a large multi-national construction and construction materials business. The target was an integrated construction and construction materials business with assets including one of the largest highway and paving contracting businesses in the New York-Northern New Jersey market; one of the largest stone quarries in the United States; asphalt plants at multiple locations; a large recycling facility; and contracts for work in process on public projects. This complex transaction included multiple post-closing agreements between the parties.
