Ranging from short and simple to long and complex, shareholders agreements and operating agreements are important documents for setting forth the rights, obligations and limitations that are applicable to the shareholders of a corporation and the members of a limited liability company. Not only do such agreements provide a framework for a company’s business operations, they are invaluable planning tools for events such as death, disability and disengagement. This program will review the various provisions that can be included in shareholders agreements and operating agreements, and will discuss the purpose of each of those provisions. We will cover topics such as governance, transfer and issuance restrictions, and buy-outs. In addition, we will provide insight on facilitating the negotiation and execution of these agreements.
