Jennifer Clarke is special counsel in the firm’s Corporate, Finance & Business Transactions Department, based in New York.  She concentrates her practice in the areas of corporate mergers, acquisitions, restructurings and other strategic transactions, including private placements, and asset and stock purchases.

Ms. Clarke has represented corporations, partnerships and limited liability companies, providing those businesses with advice on internal restructuring, public offering and NASDAQ listing processes; oversight of international and domestic capital markets transactions.  Such transactions have included PIPEs, registered direct offerings, underwritings and private debt and equity placements; international and domestic financial advisory engagements, including mergers, acquisitions, restructurings and other strategic transactions; broker/dealer and other applicable regulatory regimes; management of outside counsel; employment and consultancy contracts, lease negotiations, policies and handbook drafting and corporate matters.
